The Cyprus Securities and Exchange Commission (CySEC) has ordered the liquidation of Wanterfell Investment AIFLNP V.C.I.C. Ltd, following the total redemption of its units. This decision comes as part of the regulatory body’s ongoing efforts to oversee and manage the financial landscape in Cyprus.
Wanterfell investment: Details of the Liquidation
The fund, operating under License Number LPAIF123/2014 as an Alternative Investment Fund with Limited Number of Persons (AIFLNP), is now undergoing voluntary liquidation. CySEC announced that this action was taken in accordance with article 132(1)(d) of the Alternative Investment Funds Law of 2018.
The decision for dissolution was communicated to CySEC by the fund’s external manager, T.C.R. International Ltd, in compliance with article 63(8) of the same law. This step marks a significant regulatory move, as the liquidation process aims to ensure proper handling of the fund’s assets following the redemption of all its units.
Impact on Shareholder Voting Rights
In a related development, CySEC has taken measures regarding the management of Octa Markets Cyprus Ltd. The regulator’s board determined that the influence of Pavel Prozorov, the ultimate beneficial owner of the company, was detrimental to its prudent management. This decision was reached during a meeting on August 25, 2025.
As a result, CySEC has suspended the voting rights associated with shares held by Prozorov, which account for 95 per cent of the company’s share capital. Additionally, Prozorov has been prohibited from performing any management duties on the board of directors, highlighting CySEC’s commitment to enforcing compliance and maintaining the integrity of financial operations in the region.
